By accessing or using LastMinute, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not use our service.
1. Use of Service
LastMinute is a healthcare scheduling and workforce management platform. The service is designed for both B2B (business-to-business) and B2C (business-to-consumer) use cases. LastMinute does not store or process Protected Health Information (PHI). You agree to use the service only for lawful purposes and in accordance with these terms.
2. Accounts
When you create an account with us, you must provide accurate, complete, and current information at all times. Failure to do so constitutes a breach of these terms, which may result in immediate termination of your account.
3. Privacy
Your use of LastMinute is also governed by our Privacy Policy. Please review our Privacy Policy to understand our practices regarding your personal data.
4. Content
You are responsible for any content that you post, upload, or otherwise make available through the service. You retain ownership of your content, but you grant LastMinute a license to use, store, and display your content as necessary to provide the service.
5. Prohibited Uses
You agree not to:
- Disable, overburden, or impair the proper working of the service
- Attempt to gain unauthorized access to any part of the service, other accounts, or computer systems or networks connected to the service
- Use the service in any manner that could interfere with, disrupt, or negatively affect other users
6. Intellectual Property
The service and its original content, features, and functionality are and will remain the exclusive property of LastMinute and its licensors. The service is protected by copyright, trademark, and other laws.
7. Termination
We may terminate or suspend your account and bar access to the service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach these terms.
8. Limitation of Liability
In no event shall LastMinute, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of (or inability to access or use) the service.
9. Governing Law
These terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
10. Changes
We reserve the right, at our sole discretion, to modify or replace these terms at any time. By continuing to access or use our service after revisions become effective, you agree to be bound by the revised terms.
